The Yoxel Terms of Services Agreement («Agreement») is a legally enforceable contract between Yoxel, Inc. («Yoxel,» «we,» «our» or «us») and the entity or person («you», «your», or «user») who uses the Yoxel website («Site») or our online services (collectively, «Services»), including application programming interface («API») and workspace integrations platform («Platform»); features; software; and other tools that we may, in our sole discretion, make available to you. The Yoxel Site and Services are provided by, and you’re contracting with: Yoxel that is organized under the laws of the State of California, USA.

You may not access or use our Services or Site unless you agree to abide by all the terms and conditions set in this Agreement. Your access and use of our Services and Site are subject to your acceptance of this Agreement. By accessing and using our Services and Site, you expressly agree to the terms and conditions set in this Agreement. If you do not understand any of the terms and conditions of the Agreement, please contact us at compliance@yoxel.com before using the Services and Site.

This Agreement will be superseded by a written agreement between Yoxel and you related to the delivery of the Services.

IMPORTANT NOTICE REGARDING ARBITRATION: WHEN YOU AGREE TO THIS AGREEMENT YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND YOXEL THROUGH BINDING ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 18 «DISPUTE RESOLUTION» BELOW FOR DETAILS REGARDING ARBITRATION (INCLUDING THE PROCEDURE TO OPT OUT OF ARBITRATION).

IMPORTANT NOTICE REGARDING ACCEPTANCE OF THIS AGREEMENT: THIS AGREEMENT FORMS A BINDING CONTRACT BETWEEN YOU AND YOXEL WHEN ACCEPTED BY YOU. YOU ACCEPT THIS AGREEMENT BY (1) ACCESSING OR USING OUR SERVICES OR SITE, (2) INDICATING ACCEPTANCE WHEN THE AGREEMENT IS PRESENTED TO YOU ON OUR SITE OR SERVICES, SUCH AS BY CHECKING A BOX CAPTIONED WITH ACCEPTANCE LANGUAGE OR CLICKING A BUTTON OR AN ICON BEARING AN «ACCEPT» OR SIMILAR WORDING OR BY OTHERWISE ELECTRONICALLY SIGNING THIS AGREEMENT; OR (3) EXERCISING OR PURPORTING TO EXERCISE ANY OF THE RIGHTS GRANTED TO YOU UNDER THIS AGREEMENT. AN INDIVIDUAL ACCEPTING THIS AGREEMENT ON BEHALF OF YOU REPRESENTS THAT HE OR SHE HAS AUTHORITY TO REPRESENT YOU; HAS PROVIDED INFORMATION THAT IS ACCURATE AND COMPLETE; AND HAS AUTHORIZATION TO AGREE TO THIS AGREEMENT AND COMMIT FUNDS ON YOUR BEHALF. IF YOU DO NOT AGREE TO THIS AGREEMENT, YOU MAY NOT ACCERR OR USE OUR SERVICES AND SITE.

  1. ELIGIBILITY

    You may use the Site and Services only if you are 18 years or older and capable of forming a binding contract with Yoxel and are not barred from using the Site and Services under applicable laws.

  2. YOXEL SERVICES

    The Yoxel Services may be used to integrate with various third-party API providers such as Google, Microsoft, Salesforce and Slack (“Third Parties”). You may use our Services solely as described in our documentation available at https://helpdocs.yoxel.com/ (collectively, “Documentation”) or expressly communicated to you by us. Due to the nature of the Services, we will update the Documentation from time to time to reflect the changes to our Services.

  3. YOUR INTEGRATED SERVICES

    Your services, products, platforms, applications, features, software and other tools that you integrate with Third Parties through our Services, regardless of whether or not fees are charged, are referred to as integrated services («Integrated Services»). Yoxel is not responsible for Integrated Services you make available to your end users («End Users») — you are solely responsible for providing Integrated Services. Yoxel provides Services to you, but we have no way of knowing if Integrated Services are operating as intended by you. You are responsible for testing your Integrated Services and knowing whether Integrations are erroneous or operating as intended.

  4. YOUR YOXEL ACCOUNT

    Only businesses, bona fide charitable organizations and other entities or persons who register for the Yoxel account («Yoxel Account») are eligible to use the Services. Each user of our Services needs to have his or her separate Yoxel Account with unique login credentials («Authorized Users»).

    To register for the Yoxel Account you must provide your legal business name, URL, the description of your Integrated Services, and certain other information about you that we require, such as personal information about your Yoxel Account administrators, (collectively, «Required Information»). To minimize confusion and avoid potential disputes, these descriptors must be recognizable to your End Users and must accurately describe your Integrated Services. Until you have submitted, and we have reviewed and approved, all Required Information, your Yoxel Account will be available to you on a preliminary basis only, and we may terminate it at any time and for any reason.

    Keeping your Yoxel Account Current: By continuing to use our Services, you agree to keep the Required Information in your Yoxel Account current. You must promptly update your Yoxel Account with any changes affecting you, the nature of your Integrated Services, your administrators, or any other Required Information. We may suspend your Yoxel Account or terminate this Agreement if you fail to keep Required Information current.

    Consent to Electronic Disclosures and Notices: By registering for an Yoxel Account, you agree that such registration constitutes your electronic signature, and you consent to electronic provision of all disclosures and notices from Yoxel, including those required by applicable laws and regulations. You also agree that your electronic consent will have the same legal effect as a physical signature.

  5. SERVICES LICENSE GRANT

    Subject to your compliance with this Agreement, Yoxel grants you a limited, non-exclusive, non-transferable and non-sublicensable license to access and use our Services solely to develop your Integrated Services for your End Users. You and Yoxel are independent entities, and our grant of the license to you does not create any partnership, agency, or employment relationship between you and Yoxel, or the employees or agents of either party. You may not, and may not attempt to, make any representation, warranty, or commitment on behalf of Yoxel. You may not use any Yoxel logo, or trade or service mark in a manner inconsistent with this Agreement

  6. END USER CONTENT

    For the purposes of this Agreement («End User Content») means text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided, or otherwise made available through the Services by the End Users or you in relation to your End Users. Your Integrated Services may process End User Content using our Services only for legitimate reasons and only in accordance with this Agreement («Integrations»).

    You are solely responsible for End User Content processed by your Integrated Services. Yoxel does not claim any ownership rights in any End User Content and nothing in this Agreement will be deemed to restrict any rights that you may have to use and exploit the End User Content. By making End User Content available through the Services, you hereby grant to Yoxel a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to use, copy, modify, create derivative work, publicly display, publicly perform and distribute your End User Content, solely as needed to operate and provide the Services to you.

    By accepting this Agreement, you represent and warrant that you have all rights and consents, and will obtain all rights and consents, with respect to all your End User Content to the extent necessary for you and Yoxel to comply with all applicable laws, rules and regulations including, without limitation, all applicable data protection and privacy laws; and for you to grant us the license rights in your End User Content under this Agreement. You also represent and warrant that availability of your End User Content through the Services will not infringe, misappropriate, or violate third parties’ intellectual property rights; rights of publicity or privacy; or any applicable laws or regulations.

    You can remove your End User Content by specifically deleting it or requesting that Yoxel delete it in accordance with this Agreement and our Privacy Policy.

  7. YOUR INTEGRATED SERVICES AGREEMENT AND REQUIRED DISCLOSURES

    You may only perform Integrations for your End Users if your End Users grant you authority to perform such Integrations on their behalf through your terms of service agreement or other similar contract («Integrated Services Agreement»). Your Integrated Services Agreement must clearly and prominently explain to the End Users the nature of the Integrated Services and the activity that you will conduct on their behalf; give you a clear authorization to perform the Integrations on your End Users’ behalf; and to allow Yoxel to collect, use, retain and disclose End Users’ information through the Integrated Services.

    Your Integrated Services Agreement should also include terms signifying your compliance with the following requirements («Disclosure»):

    • You are only allowed to use End User Content in direct connection with providing and improving Integrated Services. It should be clear to your End Users why and how you use the End User Content they have chosen to share with you through the Integrated Services.
    • You are only allowed to transfer End User Content to others if that transfer is (a) necessary to provide or improve user-facing features that are prominent in the Integrated Services, (b) to comply with applicable laws, or © a part of a merger, acquisition, or sale of assets of the developer. All other transfers or End User Content are completely prohibited.
    • You are never allowed to use or transfer End User Content for advertising purposes. This includes personalized, re-targeted and interest-based advertising.
    • You cannot allow humans to read End User Content. For example, a developer shall not have access to End Users’ emails. There are four limited exceptions to this rule: (a) you obtain an End User’s consent to access End User Content (for example, for tech support), (b) it’s necessary for security purposes (for example, investigating abuse), © to comply with applicable laws, and (d) you aggregate and anonymize End User Content and only use it for internal operations (for example, reporting aggregate statistics).

    If you are unable to add the Disclosure to your Integrated Services Agreement, then you should either add it to your Integrated Services privacy policy, to a page that is one click away from the Integrated Services homepage, or by providing it in some other way that is easily accessible by the End Users.

    For example:

    We are using the Aurinko API platform, made available by Yoxel, Inc., («Aurinko») to provide you with integration services for third-party services, such as Google and Microsoft. In order to access and use the Aurinko’s integration services, you will need to provide Aurinko with login information or give permission to access applicable third-party accounts. Your access and use of the Aurinko integration services are subject to your acceptance of the Aurinko’s privacy policy: https://www.aurinko.io/privacy-policy and terms of services: https://www.aurinko.io/terms-of-services. By accessing and using the Aurinko’s integration services, you expressly agree to the terms and conditions set in the Aurinko’s privacy policy and terms of services; and grant Aurinko the right, power, and authority to access and transmit your information as reasonably necessary for Aurinko to provide its integration services to you. At any time, you can discontinue your use of Aurinko services and delete applicable information by reaching out to Aurinko at compliance@aurinko.io and requesting that it be deleted.

    In addition, we will only use the information we receive through the Aurinko’s integrated services in direct connection with providing and improving the integrated services. We are only allowed to share to others your information that we receive through the integrated services if necessary to provide or improve user-facing features that are prominent in the integrated services, to comply with applicable laws, or as part of a merger, acquisition, or sale of assets. We do not use information we receive through the Aurinko’s integrated services for advertising purposes. And we do not allow anyone to access your information we receive through the Aurinko’s integrated services. However, there are four limited exceptions to this rule: you permit us to access your information (for example, for tech support), it’s necessary for security purposes (for example, investigating abuse), to comply with applicable laws, and we aggregate and anonymize your information and only use it for internal operations (for example, reporting aggregate statistics).

  8. YOUR OBLIGATIONS AND RESPONSIBILITIES

    Unauthorized Access: You are responsible for all activities that occur under your Yoxel Account or any of your Authorized Users’ accounts. You agree to use commercially reasonable efforts to prevent unauthorized access and use of the Services, and to notify Yoxel promptly of any unauthorized access or use.

    Compliance with this Agreement: You agree to comply with this Agreement when using our Services, and for your Authorized Users’ compliance with this Agreement.

    Compliance with Applicable Laws: You agree to comply with all applicable laws, regulations and rules. You must use the Services in a lawful manner, and must obey all laws, rules, and regulations applicable to your use of the Services, this may include compliance with domestic and international laws related to the use our Services.

    Third-Party Rules: All Third Parties for which we provide integrations require that you enter into a direct contractual relationship with them. You must comply with all applicable Third-Party rules, including those imposed by Google and Microsoft. You may only use our Services consistent with the Third-Party rules.

    Restricted Activities: You may not use the Services to facilitate illegal activities or to permit others to use the Services for such activities. In addition, you may not allow, and may not allow others to:

    • access or attempt to access non-public Yoxel systems, programs, data, or services;
    • copy, reproduce, republish, upload, post, transmit, resell, or distribute in any way, any data, content, or any part of the Services, Documentation, or our Site except as expressly permitted by applicable laws;
    • act as service agent for the Services;
    • transfer any rights granted to you under this Agreement;
    • work around any of the technical limitations of the Services or enable functionality that is disabled or prohibited;
    • reverse engineer or attempt to reverse engineer the Services except as expressly permitted by laws;
    • impose an unreasonable or disproportionately large load on the Service impersonate any person using our Services and Site;
    • damage, interfere with or disrupt the Services and the Site in any way;
    • develop methods to enable unauthorized parties to use and/or access the Services and the Site;
    • use the Services and the Site in a way that may damage our reputation; or
    • use the Services and the Site in any manner to compete with Yoxel.
  9. PRIVACY AND SECURITY

    Protecting and securing the personal information processed through the Services is one of our top priorities, and it should be yours too. Our Privacy Policy, available at https://www.yoxel.com/privacy, explains how and why we process personal information. If we become aware of an unauthorized acquisition, disclosure, or loss of personal information collected through our Services, we will notify you consistent with our obligations under applicable laws.

    As a condition to the access and use of the Services, you agree to have a privacy policy that your End Users can easily access and that explains your privacy and security practices in connection with personal information you process using our Services. By using and accessing our Services, you agree to implement adequate privacy procedures and security controls appropriate to mitigate your exposure to security incidents. In our sole discretion, we may take any action, including suspension of your Yoxel Account, to maintain the integrity and security of the Services, or to prevent harm to you, us, End Users, or others.

  10. PAYMENT AND CANCELLATION

    We operate various subscription plans, including monthly and annual subscription options.

    Monthly Plans: At the end of the trial period, should you elect to subscribe to our monthly subscription plan, you will be asked to provide your credit card information and agree to pay applicable monthly subscription fees («Fees»), prorated based on your actual usage of the Services. Any failure to pay the Fees within thirty (30) days from the date of our written notice about delinquent payment, will result in termination of your access to applicable Services. We reserve the right to change the Fees at any time. If you do not accept the new Fees, you should cancel your subscription.

    Your subscription, including the payment of any Fees, will continue until cancelled by you, or alternatively until terminated (please see below our termination term). In the event you cease use of the Services for any reason, you will not be entitled to any refund for any remaining portion of such term or renewal term.

    Annual Plans: If you have elected to subscribe on an annual basis, your Service fees and cancellation terms will be based on the written agreement between Yoxel and you.

  11. FORCE MAJEURE

    Neither party will be liable for any delays in processing or other nonperformance caused by telecommunications, utility, failures, or equipment failures; labor strife, riots, war, or terrorist attacks; nonperformance of our vendors or suppliers, fires or acts of nature; or any other event over which the respective party has no reasonable control. However, nothing in this section will affect or excuse your liabilities or your obligation to pay the Fees, and reasonably handle your obligations and disputes under this Agreement.

  12. INTELLECTUAL PROPERTY

    Our materials, trademarks, logos, service marks and content, as well as their arrangement and compilation, («Service Materials») displayed throughout our Site and Services are the exclusive property of Yoxel, unless otherwise noted. All such Service Materials are subject to our rights under copyright, trademark, and/or other intellectual property laws. Any use of such Service Materials without our express prior written consent may violate such laws and/or this Agreement.

    Except as expressly authorized by us in writing, you agree not to download, transmit, modify, lease, rent, sell, assign, distribute, frame, copy, re-publish, license, reverse engineer, or create derivative works from Service Materials, nor use any robots, data mining, or similar data extraction or gathering methods in connection with our Services.

  13. MARKETING REFERRALS

    You agree that we may, at our own expense, use your corporate name and logo in printed, online and electronic promotional materials (for example, as an exemplary customer of Yoxel) and/or to place advertisements in newspapers, journals and similar publications describing our Services. If you do not wish for us to disclose such information, you must so notify us in writing to compliance@yoxel.com. We will make commercially reasonable efforts to avoid disclosing such information following our receipt of such notice. We assume no obligation to remove or retract any disclosures previously made.

  14. THIRD PARTIES

    While our Services provide integration services with Third-Party APIs, your use of Third-Party services is at your own risk and we do not guarantee or warrant any Third-Party services in any way. We take no responsibility for any claims or other information supplied by the Third Parties to you. We also do not assist our users in obtaining licenses to gain access and use Third-Party services. We are not a party to any agreements, dealings or transactions between you and the Third Parties. You are solely responsible for complying with Third-Party terms and requirements. We shall have no liability in the event you are deemed not to comply with the Third-Party terms and requirements. You agree that the limitation and disclaimer of liability recited in this Agreement fully excludes your use of any Third-Party service.

  15. NO WARRANTIES

    WE PROVIDE THE SERVICES «AS IS» AND «AS AVAILABLE», WITHOUT ANY EXPRESS, IMPLIED, OR STATUTORY WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, OR ANY OTHER TYPE OF WARRANTY OR GUARANTEE. NO INFORMATION, DOCUMENTATION OR ANY OTHER DATA PROVIDED BY YOXEL OR OBTAINED BY YOU FROM OR THROUGH THE SERVICES, WHETHER ORAL OR WRITTEN, CREATES OR IMPLIES ANY WARRANTY FROM A YOXEL ENTITY TO YOU.

    YOU AFFIRM THAT YOXEL DOES NOT CONTROL THE SERVICES OR PRODUCTS THAT YOU OFFER, SELL OR OTHERWISE MAKE AVAILABLE TO YOUR END USERS THAT ARE BUILT USING OUR SERVICES. YOXEL DISCLAIMS ANY KNOWLEDGE OF, AND DO NOT GUARANTEE:

    • THE ACCURACY, RELIABILITY, OR CORRECTNESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES;
    • THAT THE SERVICES WILL MEET YOUR SPECIFIC BUSINESS NEEDS OR REQUIREMENTS;
    • THAT THE SERVICES WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, OR WILL FUNCTION IN AN UNINTERRUPTED MANNER OR BE SECURE;
    • THAT YOXEL WILL CORRECT ANY DEFECTS OR ERRORS IN THE SERVICE, API, DOCUMENTATION, OR DATA; OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL CODE.

    USE OF DATA YOU ACCESS OR DOWNLOAD THROUGH THE SERVICES IS DONE AT YOUR OWN RISK — YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY, LOSS OF DATA, OR ANY OTHER LOSS THAT RESULTS FROM SUCH ACCESS OR DOWNLOAD. YOU UNDERSTAND THAT YOXEL MAKES NO GUARANTEES TO YOU REGARDING YOUR USE OF THE SERVICES.

    NOTHING IN THIS AGREEMENT OPERATES TO EXCLUDE, RESTRICT OR MODIFY THE APPLICATION OF ANY IMPLIED CONDITION, WARRANTY OR GUARANTEE, OR THE EXERCISE OF ANY RIGHT OR REMEDY, OR THE IMPOSITION OF ANY LIABILITY UNDER LAW WHERE TO DO SO WOULD: (A) CONTRAVENE THAT LAW; OR (B) CAUSE ANY TERM OF THIS AGREEMENT TO BE VOID.

  16. LIMITATION OF LIABILITY

    Under no circumstances will Yoxel be responsible or liable to you for any indirect, punitive, incidental, special, consequential, or exemplary damages resulting from your use or inability to use the Services or for the unavailability of the Services, for lost profits, personal injury, or property damage, or for any other damages arising out of, in connection with, or relating to this Agreement or your use of the Services, even if such damages are foreseeable, and whether or not you or Yoxel have been advised of the possibility of such damages. Yoxel is not liable, and denies responsibility for, any damages, harm, or losses to you arising from or relating to hacking, tampering, or other unauthorized access or use of the Services, your Yoxel Account, or information, or your failure to use or implement appropriate security measures. Yoxel further denies responsibility for all liability and damages to you or others caused by:

    • your access or use of the Services inconsistent with the Documentation;
    • any unauthorized access of servers, infrastructure, or information used in connection with the Services;
    • interruptions to or cessation of the Services;
    • any bugs, viruses, or other harmful code that may be transmitted to or through the Services;
    • any errors, inaccuracies, omissions, or losses in or to any information provided to us;
    • third-party content provided by you; or
    • the defamatory, offensive, or illegal conduct of others.

    You agree to limit any additional liability not disclaimed or denied by Yoxel under this Agreement to your direct and documented damages; and you further agree that under no circumstances will any such liability exceed in the aggregate the amount of Fees paid by you to Yoxel during the three-month period immediately preceding the event that gave rise to your claim for damages. These limitations on our liability to you will apply regardless of the legal theory on which your claim is based, including contract, tort (including negligence), strict liability, or any other theory or basis.

    We provide the Services from facilities in the United States. We do not claim, and we cannot guarantee that Services we provide from the United States are or will be appropriate or available for any other location or jurisdiction, comply with the laws of any other location or jurisdiction, or comply with laws governing foreign use.

  17. INDEMNIFICATION

    Without limiting, and in addition to, any other obligation that you may owe under this Agreement, you are at all times responsible for the acts and omissions of your employees, contractors and agents, to the extent such persons are acting within the scope of their relationship with you.

    You agree to indemnify and defend Yoxel, our affiliates, and their respective employees, agents, and service providers (each a «Yoxel Entity») against any claim, suit, demand, loss, liability, damage, action, or proceeding (each, a «Claim») brought by a third party against a Yoxel Entity, and you agree to fully reimburse the Yoxel Entities for any Claims that results from:

    • your breach of any provision of this Agreement;
    • any Fees, fines, disputes, or any other liability we incur that results from your use of the Services;
    • your negligent or willful misconduct, or the negligent or willful misconduct of your employees contractors, or agents; or
    • contractual or other relationships between you and your End Users.
  18. DISPUTE RESOLUTION

    PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN A COURT.

    30-Day Right to Opt-Out: You have the right to opt-out and not be bound by the arbitration and class waiver provisions set forth in this section by sending written notice of your decision to opt-out by emailing us at compliance@yoxel.com. The notice must be sent within thirty (30) days of your first use of the Services, otherwise you shall be bound to arbitrate disputes in accordance with the terms set forth in this section. If you opt-out of these arbitration provisions, we also will not be bound by them.

    Initial Dispute Resolution: We are available by email at compliance@yoxel.com to address any concerns you may have regarding your use of the Services. Most concerns may be quickly resolved in this manner. You agree to use best efforts to settle any dispute, claim, question, or disagreement directly through consultation and good faith negotiations directly with us, which shall be a precondition to either party initiating a lawsuit or arbitration.

    Agreement to Binding Arbitration: If we do not reach an agreed upon solution within a period of thirty (30) days after the initial dispute resolution is pursued, then either you or we may initiate binding arbitration. YOU UNDERSTAND THAT, ABSENT THIS MANDATORY BINDING ARBITRATION PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN A COURT AND HAVE A JURY TRIAL («ARBITRATION AGREEMENT»).

    Binding arbitration shall be administered on a confidential basis by JAMS. Each party will have the right to use legal counsel in connection with arbitration at its own expense. The parties shall select a single neutral arbitrator in accordance with JAMS procedures. The arbitrator, and not any federal, state or local court or agency, shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability or formation of this Agreement. The arbitrator shall be empowered to grant whatever relief woold be available in a court under law or in equity. The interpretation and enforcement of this Agreement shall be subject to the U.S. Federal Arbitration Act. The JAMS roles governing the arbitration may be accessed at https://www.jamsadr.com/rules-comprehensive-arbitration/.

    You agree that arbitration will be exclusively held in San Francisco, California and that each party will be responsible for its own costs, including paying any JAMS filing, administrative and arbitrator fees in accordance with JAMS roles. To select an arbitrator, each party agrees to provide a list of two available arbitrators that have experience with the subject matter. Each party may strike one of the names on the other party’s list. The parties will select an arbitrator out of the remaining two arbitrator names. If the parties cannot mutually agree on one arbitrator, JAMS will choose the arbitrator randomly from the two remaining arbitrators.

    Service of Process: Each party hereby irrevocably and unconditionally consents to service of process through personal service at their corporate headquarters, registered address, or primary address. Nothing in this Agreement will affect the right of any party to serve process in any other manner permitted by applicable laws.

    Class Waiver: To the fullest extent permitted by laws, each of the parties agrees that any dispute arising out of or in connection with this Agreement, whether in arbitration or in court, will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim or dispute proceeds in court rather than through arbitration, each party knowingly and irrevocably waives any right to trial by jury in any action, proceeding or counterclaim arising out of or relating to this Agreement or any of the transactions contemplated between the parties.

    Exclusive Venue for Litigation: To the extent that the arbitration provisions set forth in this Section do not apply or if you have opted out of arbitration, you agree that any litigation shall be filed exclusively in state or federal courts located in San Francisco, California. You and we expressly consent to exclusive jurisdiction in San Francisco, California for any litigation. In the event of litigation relating to this Agreement, the Service and the Site, you agree to waive, to the maximum extent permitted by law, any right to a jury trial, except where a jury trial waiver is not permissible under applicable law.

    Provision of an Award: Subject to the limitations of liability identified in this Agreement, the appointed arbitrators may award monetary damages and any other remedies allowed by the laws of the State of California. In making a determination, the arbitrator will not have the authority to modify any term or provision of this Agreement. The arbitrator will deliver a reasoned written decision with respect to the dispute (the «Award») to each party, who will promptly act in accordance with the Award. Any Award (including interim or final remedies) may be confirmed in or enforced by a state or federal court located in San Francisco, California. The decision of the arbitrator will be final and binding on the parties and will not be subject to appeal or review.

    Exceptions: Nothing in this section, will be deemed to waive, preclude, or otherwise limit the right of either party to address an intellectual property infringement claim. Such disputes shall be resolved in litigation before a state or federal court located in San Francisco, California.

    Confidentiality: The parties will maintain the confidential nature of the arbitration proceeding, the hearing and the Award, except as may be necessary to prepare for or conduct the arbitration hearing on the merits, in connection with a court application as contemplated above for a preliminary remedy, or confirmation of an Award or its enforcement, our disclosure of the Award in confidential settlement negotiations, or as otherwise required by applicable laws. The parties, witnesses, and arbitrator will treat as confidential and will not disclose to any third person (other than witnesses or experts) any documentary or other evidence produced in any arbitration hereunder, except as required by law or except if such evidence was obtained from the public domain or was otherwise obtained independently from the arbitration.

    Conflict of Rules: In the case of a conflict between the provisions of this Agreement and the rules governing arbitration, the provisions of this Agreement will prevail. If any provision of this Agreement to arbitrate is held invalid or unenforceable, it will be so held to the minimum extent required by law and all the other provisions will remain valid and enforceable.

  19. GOVERNING LAW; TIME TO INITIATE ACTION

    You agree that any available claims, causes of action or disputes will be brought exclusively in courts located in San Francisco, California, and you agree to submit to the personal and exclusive jurisdiction of such courts, for any actions, without regard to conflict or choice of law principles.

    You also agree that, regardless of any statute or law to the contrary, you must file any claim or cause of action within one (1) year after such claim or cause of action arose or be forever barred.

  20. WAIVER AND SEVERABILITY

    No waiver of a term or condition of this Agreement by us shall operate as a waiver of another breach of the same or of any other term or condition contained in this Agreement, and any failure of ours to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision.

    If any provision or portion of this Agreement is held by a legal governmental body to be invalid, illegal or unenforceable for any reason, then it will be reformed and interpreted to accomplish the objectives of such provision to the greatest extent possible, and all remaining provisions will continue in full force and effect.

  21. RIGHTS ARE NOT TRANSFERABLE

    Your privilege to use our Services, and any password or right given to you to obtain information or documents, is not assignable and/or otherwise transferable by you to any other third party or person.

  22. TERMINATION

    Term and Termination: This Agreement is effective upon the date you first access or use the Services and continues until terminated by you or Yoxel. You may terminate this Agreement by closing your Yoxel Account at any time by opening your account settings, selecting «delete my account» and ceasing to use the Service. We may terminate this Agreement or close your Yoxel Account at any time for any reason (including, without limitation, for any activity that may create harm or loss to the goodwill of a Payment Method) by providing you Notice. We may suspend your Yoxel Account and your ability to access our Services, or terminate this Agreement, if we determine in our sole discretion that you are ineligible for the Services; you use the Services in a prohibited manner or otherwise do not comply with any of the provisions of this Agreement; any law, rules or regulations require us to do so; or we are otherwise entitled to do so under this Agreement.

    Effects of Termination: Upon termination, you understand and agree that all licenses granted to you by Yoxel under this Agreement will end; we reserve the right (but have no obligation) to delete all of your information stored on our servers; we will not be liable to you for compensation, reimbursement, or damages related to your use of the Services; and you are still liable to us for any Fees or fines, or other financial obligation incurred by you or through your use of the Services prior to termination.

    Survival: Upon the expiration or termination of the Agreement, some or all of the Services may cease to operate without prior notice. Your indemnification obligations, our warranty disclaimers and limitations of liabilities, and dispute resolution provisions stated in the Agreement will survive.

  23. CHANGES TO THE AGREEMENT AND SERVICES

    We have the right to change or add to the terms of this Agreement at any time, solely with prospective effect, and to change, delete, discontinue, or impose conditions on use of the Services. We will provide you with Notice of any material changes through the Site or via an email that we have on file for you («Notice»). By accepting this Agreement, you agree that electronic delivery of a Notice has the same legal effect as if we provided it to you in a physical form. We will consider a Notice to have been received by you within 24 hours of the time a Notice is either posted to our Site or emailed to you.

    If you are an existing user of our Services, the material changes to this Agreement will come into effect 10 days after we provide you with the Notice. If you do not agree to be bound by the modified Agreement, then you must discontinue using our Services upon finding out about the changes. Your continued use of our Services or Site will signify your acceptance of the terms of the modified Agreement.

    You can access a copy of the current terms of this Agreement on our Site at any time. You can find out when this Agreement was last changed by checking the «Last Updated» date at the top of the Agreement.

  24. ENTIRE AGREEMENT

    This Agreement sets forth your exclusive remedies with respect to the Services. This Agreement and all policies and procedures that are incorporated by reference constitute the entire agreement between you and Yoxel for provision and use of the Services. Except where expressly stated otherwise in a writing executed between you and Yoxel, this Agreement will prevail over any conflicting policies or agreements for the provision or use of the Services.
